Mumbai, October 27: Tata Trusts chairman Noel Tata has challenged the resolution to reappoint N Chandrasekaran as Tata Sons chairman, raising questions over the validity of the decision taken at the company’s September 17 board meeting.
The move has brought differences within the leadership of India’s largest conglomerate into the open.
Noel Tata Questions Board Decision
According to sources, Noel Tata wrote to Tata Sons company secretary Suprakash Mukhopadhyay on Monday, questioning the resolution extending Chandrasekaran’s tenure beyond February 2027.
He reportedly argued that the five-year reappointment was invalid because the proposal was not included in the original meeting agenda.
Sources said the meeting was scheduled to discuss recommendations from the nomination and remuneration committee, rather than approve a fresh appointment.
Disagreement Over Voting
Noel Tata, who heads Tata Trusts, which holds nearly two-thirds of Tata Sons, had opposed Chandrasekaran’s reappointment during the September board meeting.
However, Venu Srinivasan, another Tata Trusts nominee on the Tata Sons board, supported the resolution.
Other directors who voted in favour included Anita George, Harish Manwani and Saurabh Agarwal.
The disagreement has raised questions about board procedures and the role of Tata Trusts’ representatives in major corporate decisions.
Questions Over Board Rules
Noel reportedly cited Tata Sons’ Articles of Association, arguing that resolutions require affirmative votes from Tata Trusts’ nominee directors.
He maintained that the September resolution did not meet the required conditions and should therefore be treated as void.

However, the legal validity of his objections remains unresolved.
Seeks Board Meeting Recording
In his letter, Noel also requested an unedited video recording of the September 17 board meeting, according to sources familiar with the development.
Emails sent to Tata Sons and Tata Trusts seeking comments did not receive immediate responses.
The development adds uncertainty around Chandrasekaran’s proposed continuation as chairman and highlights governance differences within the Tata group.
Further clarity is expected as the company examines the objections raised against the resolution.
