Big Deal: ITC Completes Century Pulp & Paper Acquisition, Will Aditya Birla Real Estate Shareholders Get Free Shares?

Mumbai: Aditya Birla Real Estate has completed the transfer of its Century Pulp and Paper business to ITC through a slump sale. Under this transaction, the entire business, including its assets, liabilities, employees, contracts and other obligations, has been transferred to ITC as a going concern.

A slump sale means an entire business unit is sold as one package instead of transferring individual assets separately.

No Free ITC Shares for Investors

One of the biggest questions among investors is whether existing Aditya Birla Real Estate shareholders will receive free ITC shares after the deal.

The answer is no.

The company’s disclosure does not mention any allotment of ITC shares or any other corporate action for existing shareholders. Investors should therefore not expect additional shares to be credited to their demat accounts.

Any future shareholder benefit or corporate action, if announced, will be disclosed separately through stock exchange filings.

What It Means for Both Companies

For Aditya Birla Real Estate, the transaction marks a major strategic shift. With the paper business no longer part of its portfolio, the company can now focus more on expanding its real estate operations.

However, the company has not disclosed the value of the transaction or how the sale proceeds will be utilised. The funds could potentially be used to reduce debt, acquire land, develop new projects or strengthen the balance sheet.

For ITC, the acquisition is expected to strengthen its paperboards and paper business. Along with the manufacturing facilities, ITC is also expected to gain access to employees, customer relationships, contracts and production infrastructure, helping expand its presence in the sector.

What Investors Should Watch

The completion of the deal should currently be viewed only as a business transfer and not as a buy or sell signal.

Investors should closely monitor the company’s upcoming quarterly results for details on the transaction value, cash position, debt reduction, utilisation of sale proceeds and future real estate growth plans. They should also watch how the acquisition contributes to ITC’s paper business performance over the coming quarters.
